Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of ACT-iOS (“the Service”, “we”, “us”). By purchasing a licence or starting a free trial, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Licence grant

Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a personal, non-transferable, non-exclusive, revocable licence to use the ACT-iOS toolkit files in any iOS project that you personally control or deliver under contract to a client. The licence covers use on any machine that you personally operate, including development, CI, and client handoff environments.

3. Restrictions

You may not:

• Redistribute, resell, sublicense, rent, or lease the toolkit files or any derivative that substantially reproduces them.
• Publicly host the toolkit files (including on a public GitHub repository, Gist, blog post, training dataset, package registry, or file-sharing service).
• Share your private-repository access with anyone outside a single licensed user.
• Use the toolkit to build a competing AI-assisted iOS toolkit that packages substantially the same skills, agents, or rules.
• Remove or alter any attribution, licence headers, or proprietary notices embedded in the toolkit files.

4. Subscriptions, renewals, and cancellation

ACT-iOS is offered under four plans: a 7-day free trial, a monthly subscription (₹599), an annual subscription (₹4,999), and a one-time lifetime licence (₹10,799). All prices are listed in Indian Rupees and excluding any applicable taxes which Lemon Squeezy may add at checkout.

Monthly and annual subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time through the Lemon Squeezy customer portal linked from your purchase-confirmation email. Cancellation stops future renewals; access continues until the end of the period you have already paid for.

The 7-day free trial requires a payment method on file. It will automatically convert to a monthly subscription unless you cancel before the trial ends.

5. No refunds · cancellation

All sales are final. We do not offer refunds or pro-rated cancellations. The 7-day free trial is the evaluation window: please use it to confirm the toolkit fits your workflow before providing a payment method.

You can cancel a subscription at any time through the Lemon Squeezy customer portal link in your purchase-confirmation email. Cancellation stops future renewals; you keep access until the end of the current billing period. Nothing in this section limits any non-waivable statutory rights available to you under the consumer-protection laws of your country of residence.

6. Intellectual property

The ACT-iOS name, logo, documentation, skill definitions, agent prompts, rules files, and all accompanying materials remain the exclusive property of the operator of the Service. Nothing in these Terms transfers ownership of the toolkit to you.

Code that you or your AI agent generate while using the toolkit in your own iOS project is yours. We claim no ownership or licence over your application source code, your project files, or the apps you ship.

7. Warranty disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. AI-GENERATED OUTPUT IS PROBABILISTIC AND YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, TESTING, AND APPROVING ANY CODE PRODUCED WHILE USING THE SERVICE BEFORE SHIPPING IT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE SERVICE TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA.

9. Termination

We may suspend or terminate your access to the Service if you materially breach these Terms (for example by redistributing the toolkit or chargebacking a valid purchase), with or without prior notice, depending on the severity of the breach. You may terminate at any time by cancelling your subscription and ceasing use of the toolkit. Sections 3, 6, 7, 8, and 10 survive termination.

10. Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved by good-faith discussion within 60 days shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India. Nothing in this section limits any mandatory consumer rights that apply to you in your country of residence.

11. Changes to these Terms

We may update these Terms to reflect changes in the Service or the law. Material changes will be announced by email to active customers at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
